I am using a registered version of Access 97 and I am unable to use ActiveX
controls.
I am trying to use Comdlg32.ocx and it comes up with a message "you don't
have the
license to use this control",
Is this a service pack issue, or a registration issue?

This is a well known problem. Check the MS knowledge base for the answer -
I can't recall exactly what the fix is from memory. If you can't find it,
join the Access-L list and search the archives - it comes up a least a
couple of times a year.
