Except for the simplest of code, the upgrade wizard that comes with
.NET doesn't work very well.  In other words, for complex applications
it's not that compatible.

In most cases, I would probably rewrite most of my production VB6 
applications in VB.NET, but only if there was some advantage to it.
I would never in any case use the upgrade wizard to do this for me.

In general, I will not take the time to simply upgrade VB6 code to
VB.NET just for the sake of updating the program to a new language.
The upgrade to VB.NET isn't simply a change of language, but to
use it most powerfully, you have to rethink the whole application
from the beginning.

How compatible is the VB6 code with the .NET code.  I've got a trail copy -
quickly went the other day and fetched one at our local microsoft offices.

   I would recommend actually using it or playing around with it.
I'm not sure if Microsoft still does this, but for a limited time
they had a trial (30 day) version of .NET available for download
on their site.  From my limited personal experience, I have
found that VB.NET actually helps me develop database applications
in about half or 3/4 of the time it took me with VB 6.0.  Also,
with webforms, I can quickly port most of my winform applications
to the web, which is something that isn't easily done using
VB 6.0 and ASP.
