Is the content model the whole:

or is it just everything starting with sequence(or choice etc.):

<sequence>
<element name='first'/>
<element name='last'/>
</sequence>

The term "content model" is defined in XML Schema part 1 section 2.2.3.2 as the top-level particle of a complex type. That is, your second definition.
