If the C++ dll is set up for COM, you shouldn't need to write anything. You can add a reference to the COM dll from visual studio and it will create the COM interop wrapper for you.
Also, the Visual Studio.Net SDK has a Type Library to Assembly converter: tlbimp.exe. You can run this manually to tweak the way the interop wrapper is created.
