No, not really. Upgrading to VS 2008 should be a smooth operation which should not take more than a couple of minutes, depending on your solution of course. It's a much easier upgrade path from 2 to 3.5 than it was from 1.1 to 2.
Of course you'll need loads of time to implement all the cool new things you can come up with once you start working with all the new VS 2008 / .NET 3.5 goodies.... ;)
